Welcome to TwoOrbit. These Terms and Conditions ("Terms") govern your use of our website and services. By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.
1. Acceptance of Terms
By accessing and using TwoOrbit's website and services, you accept and agree to be bound by these Terms and Conditions, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.
2. Services Description
TwoOrbit provides the following services:
- Web Development and Design
 - Mobile Application Development
 - Cloud Solutions and Infrastructure
 - AI & Machine Learning Solutions
 - SEO & Digital Marketing
 - IT Consulting and Support
 - E-commerce Solutions
 - UI/UX Design Services
 
We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.
3. Payment Terms
3.1 Payment Gateway
All payments are processed securely through Razorpay Payment Gateway. We accept payments via credit cards, debit cards, net banking, UPI, and wallets.
3.2 Payment Schedule
- Advance Payment: 30-50% of total project cost is required to initiate the project
 - Milestone Payments: Payments may be scheduled based on project milestones
 - Final Payment: Remaining amount is due upon project completion and delivery
 
3.3 Pricing
- All prices are in Indian Rupees (INR) unless otherwise specified
 - Prices are subject to change without prior notice
 - Quoted prices are valid for 30 days from the date of proposal
 - Additional services or scope changes may incur extra charges
 
3.4 Failed Payments
If a payment fails or is declined, we reserve the right to suspend services until payment is successfully processed. Additional processing fees may apply for failed transactions.
4. Project Terms and Deliverables
4.1 Project Scope
Project scope will be defined in a detailed proposal or Statement of Work (SOW). Any changes to scope must be agreed upon in writing and may affect timeline and cost.
4.2 Timeline
- Project timelines are estimates and may vary based on client feedback and scope changes
 - Delays caused by client (late feedback, content, approvals) will extend the timeline accordingly
 - We will communicate any timeline changes promptly
 
4.3 Client Responsibilities
- Provide accurate and complete project requirements
 - Provide content, images, and materials in timely manner
 - Review and provide feedback within agreed timeframes
 - Make payments as per agreed schedule
 - Appoint a single point of contact for project communication
 
4.4 Deliverables
Upon project completion, we will deliver the agreed deliverables. Final deliverables will be released after receipt of final payment unless otherwise agreed.
5. Intellectual Property Rights
5.1 Client Content
You retain ownership of all content, materials, and intellectual property you provide to us. You grant us a license to use such materials solely for the purpose of providing services.
5.2 Our Work Product
Upon full payment, you will receive ownership rights to the custom work product created specifically for you. We retain rights to:
- Pre-existing code, templates, and frameworks used in your project
 - Proprietary tools and methodologies
 - Right to showcase your project in our portfolio (unless confidentiality is agreed)
 
5.3 Third-Party Components
Projects may include third-party libraries, plugins, or services subject to their respective licenses. You agree to comply with all applicable third-party license terms.
6. Warranty and Support
6.1 Warranty Period
We provide a 30-day warranty from project delivery date for fixing bugs and issues directly related to our development work. This warranty does not cover:
- Changes or modifications made by third parties
 - Issues arising from third-party services or components
 - Changes to requirements or scope after delivery
 - Hosting or server-related issues
 
6.2 Ongoing Support
Post-warranty support is available through separate maintenance and support packages. Details and pricing for support services will be provided upon request.
7. Limitation of Liability
To the maximum extent permitted by law, TwoOrbit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
 - Data loss or corruption
 - Third-party claims
 - Service interruptions or downtime
 
Our total liability for any claim shall not exceed the total amount paid by you for the specific service in question.
8. Confidentiality
We respect the confidentiality of your business information and project details. We will not disclose confidential information to third parties except:
- With your explicit consent
 - When required by law or legal process
 - To our service providers under strict confidentiality agreements
 
9. Termination
9.1 Termination by Client
You may terminate a project by providing written notice. Payment is due for all work completed up to the termination date. Advance payments are non-refundable unless otherwise agreed.
9.2 Termination by TwoOrbit
We reserve the right to terminate services if:
- Payment obligations are not met
 - Client engages in unlawful or harmful activities
 - Client breaches these Terms
 - Mutually agreed termination terms
 
10. Dispute Resolution
In case of any dispute, we encourage resolving matters through mutual discussion. If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of courts in Delhi, India.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Delhi, India.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Effective" date. Continued use of our services after changes constitutes acceptance of the modified Terms.
